A 24-month loan at a fixed 12%, accompanied by a family membership worth €30,000

You lend a sum to the company behind the project. It repays you after 24 months, with interest, in a single payment. In the meantime, your family becomes an Early Stage member of Casa Tosalet, without paying the €30,000 joining fee.

02 · Process

Four steps, governed by an agreement drafted by EY Abogados

The agreement was drafted by EY Abogados (Valencia). It runs to ten clauses and is signed electronically.

01 · Signature

The agreement

You receive the standard agreement (EY Abogados, bilingual Spanish / English), prepared in your name. Electronic signature via DocuSign or Yousign, or before a notary if you prefer. Notarial fees and charges relating to the formalisation of the loan are borne by Tosalet Health Club, S.L.

02 · Transfer

The funds

Within 3 business days of signature, a transfer to the Tosalet Health Club S.L. account stated in the agreement. The company confirms receipt within 5 days.

03 · 24 months

Interest accrues

12% fixed per year, calculated daily on a 360-day basis, from the day the funds are received. No interim payments to follow.

04 · Maturity

Repayment

24 months after signature: capital + interest, in a single transfer, within 5 business days. The company may also repay early, on 5 business days’ notice.

03 · Business model

The business model of Casa Tosalet

Casa Tosalet is developing a private club for families, with accommodation, dining and wellbeing. The estate has already been acquired; its restoration is designed to host an activity conceived for the whole year.

Joining feesJoining fees paid by new members contribute to financing the club’s development. They are initial membership revenues, distinct from annual fees.
Annual feesFamily fees form a base of recurring revenue. They give access to the spaces and services included in the membership.
Stays and servicesAccommodation, dining, wellbeing treatments and private events are charged separately. They complement the revenue from memberships and annual fees.
The role of your loan

Your loan helps to finance the restoration, fitting-out and commissioning of the project. It is a loan to the company, not a stake in its capital, with an interest rate and maturity set out in the agreement.

04 · Return

A €150,000 ticket generates €36,500 of interest over 24 months

Casa Tosalet is restoring the 1967 Club de Campo on approximately 3 hectares in Jávea

Casa Tosalet is bringing the historic Tosalet club back to life, above the bay of Jávea: a clubhouse, a restaurant, wellness and spa, sport, a chapel and Mediterranean gardens, with accommodation set among the pine woods. The project is led by Jessica Bataille, with 30 years of work in Jávea behind her, and designed by the architect Ignacio Carbonell Canti.

Jessica Bataille

An interior designer and entrepreneur with Dutch-Lebanese roots, whose life has been built in Jávea, Jessica has developed a practice around the way people truly live. Since opening Rust & Co in 1996, she has extended that attention from objects and interiors to complete homes, hospitality and the wider experience of a place.

With the creation of Bataille Living in 2013, Jessica moved from interiors to complete homes. Designing, renovating and living with these projects deepened her understanding of proportion, durability and comfort. Bioclimatic principles, natural materials and local craftsmanship have taken an increasingly central place in her work.

Jessica explains why Tosalet matters to Jávea, what the memory of the place means to its families, and how a new way of belonging can grow from it. In Spanish.

09 · Validation

Three independent elements support the proposal

€10.2m

The project is valued at €10.2m by EY-Parthenon (RICS methodology), in a commercial due diligence and business plan review completed in March 2026.

EY

The loan agreement was drafted by EY Abogados in Valencia. The same template is signed by the lenders already committed to the project.

Owner

The borrower, Tosalet Health Club S.L. (NIF B-09.805.904), has owned the estate since 8 May 2026 (Jávea Land Registry No. 2, property 8740). It is managed by its two co-founders.

10 · Terms and risks

The terms are simple; the risks are identified

The terms of the agreement

  • Nature: an ordinary commercial loan under Spanish law. Not equity, not a fund, no conversion.
  • Interest: 12% fixed per year, 360-day basis, from receipt of funds.
  • Repayment: in a single payment, capital and interest, 24 months after signature.
  • Early repayment: the borrower may repay early, in whole or in part, on 5 business days’ notice.
  • Assignment: possible with the written consent of the other party.
  • Costs: a notarial deed remains optional. Notarial fees and charges relating to the formalisation of the loan are borne by Tosalet Health Club, S.L. Each party bears its own other advisory costs; taxes follow the applicable law.

The risks to weigh

  • Borrower risk: repayment depends on the ability of Tosalet Health Club S.L. to repay. The loan is not secured by a mortgage.
  • Project risk: licences, works and the financing of subsequent phases may take longer than planned.
  • Liquidity: the loan cannot be sold on a market; the capital is locked in until maturity.
  • Framework: a private offer, not a product regulated by the CNMV, reserved for sophisticated investors.
  • Taxation: interest is taxable according to your country of residence. For an EU resident, it is in principle exempt from Spanish withholding tax upon presentation of a certificate of residence. To be confirmed with your adviser.

Frequently asked questions

Does repayment depend on the club opening?

The agreement sets maturity at 24 months after signature. The club’s opening date plays no part in the repayment calculation.

When does the annual fee begin?

When the club opens. Before then, there is nothing to pay in respect of the membership. The €30,000 joining fee (incl. VAT) is waived for you.

Who is covered by the family membership?

The principal member and their spouse or partner, at no cost, as well as children under 18. Children aged 18 to 25 are covered with a reduced supplement.

Is interest paid quarterly?

It accrues daily but is paid in a single payment, together with the capital, at maturity. There are no payments to track during the 24 months.

Can I lend through my company?

Yes. You can lend in your own name, jointly (for example as a couple, with both lenders acting together) or through your company. We simply need the identification details.

And above €1m?

From €1m, a convertible loan is offered (the same 12% over 24 months, with an option to convert into equity). We would be glad to explain it in person.

Can I visit the estate before deciding?

With pleasure. We will welcome you in Jávea to walk the estate, the clubhouse and the drawings with you.

11 · The standard agreement

A 10-clause agreement, readable before we even speak

Here is the standard agreement as it will be prepared in your name: drafted by EY Abogados, bilingual Spanish / English, with no small print. You know exactly what you are signing before the first call.

  1. Purpose and amountThe lender (or the lenders, jointly) lends the chosen amount to Tosalet Health Club S.L. to finance the Casa Tosalet project. Transfer within 3 business days; the company confirms receipt within 5 days.

  3. Term and repaymentTwo years from signature. Capital and interest in a single transfer, within 5 business days after maturity, to the account you designate. Early repayment possible on 5 business days’ notice.
